Welcome to Zili (the "Platform"). The Platform is a network-based service that helps you stay connected with your old friends and is provided by SOCIALTECH SOLUTIONS - FZCO ("we," "us," or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you and us, governing your use of the Platform and our related websites, services, applications, products, and content (collectively, the "Services").
Please read these Terms carefully, particularly the provisions concerning Your Eligibility, Your Account, Access and Use of the Services, Limitation of Liability, and Disclaimer of Warranties, as they outline important rights and obligations.
Pursuant to Articles 435, 437, and 438 of the Civil Code of the Russian Federation and other applicable laws, by accessing or using our Services, you confirm that you are legally capable of entering into a binding contract and that you accept and agree to be bound by these Terms.
By doing so, you formally accept our offer, thereby concluding a binding agreement, and you agree to comply with all the provisions herein, including any applicable policies such as our Privacy Policy, which are incorporated by reference. These policies are accessible on the Platform or, when available, through your mobile device's application store.
You acknowledge and agree that your access to or use of the Services constitutes your acceptance of these Terms. If you do not agree with any part of these Terms, you must not access or use the Services.
You are advised to store a copy of these Terms in a reasonably acceptable format for your records.
We may revise these Terms from time to time, for example, to reflect updates to our Services or changes in applicable law. We will use commercially reasonable efforts to provide general notice to users regarding material changes to the Terms, such as via notifications on the Platform. However, you are responsible for reviewing these Terms periodically to stay informed of any updates.
The "Last Updated" date at the top of this document indicates when the Terms were most recently revised. Your continued use of the Services following the effective date of the updated Terms will constitute your acceptance of the revised Terms. If you do not agree with the revised Terms, you must cease all access to and use of the Services.
The Services are intended solely for users who are at least eighteen (18) years of age or older and who are capable of entering into legally binding contracts under applicable law (collectively referred to as the "Age of Consent"). Any registration, use, or access to the Services by anyone under the Age of Consent is unauthorized, unlicensed, and in violation of these Terms.
By accessing or otherwise using the Services, you represent and warrant that:
(a) you are a natural person who has reached the legal age of majority and are capable of independently providing the email address and other information associated with your account on the Platform;
(b) you agree to fully comply with these Terms and all applicable laws at all times;
(c) you have the legal capacity to enter into a binding agreement with us; and
(d) you are physically located in a jurisdiction where the use of the Services is legally permitted.
We reserve the right to suspend or terminate your account, remove any content or information you have submitted, and prohibit your use of the Services—whether with or without notice—if we have any reason to believe that you are under the legal age in your jurisdiction or that the use of the Services is prohibited under local laws.
Please note that compatibility of the Services may vary across different devices, platforms, and operating systems. It is your responsibility to obtain and maintain all compatible devices necessary to access and use our Services, including performing updates as needed.
To access or use the Services, you must register for an account on the Platform. When creating your account, you are required to provide accurate, truthful, current, and verifiable information. You are also obligated to maintain and promptly update your information and any other data you provide to us, in accordance with any policies or terms we implement, and to support our ongoing efforts to prevent money laundering, gambling, fraud, and other unlawful activities.
You are solely responsible for maintaining the confidentiality and security of your account information. It is essential that you keep your account password confidential and do not share your account credentials with anyone. If you become aware of or suspect that a third party has gained access to your password or account, or if you lose control of your account or suspect any unauthorized or suspicious activity, you must contact us immediately using the details provided in the "Contact Us" section.
You agree that you are fully responsible for all activities that occur under your account, whether such activities are conducted by you or by a third party who has accessed your account without authorization.
We reserve the right to investigate your account at any time, including conducting background checks and credit reviews, to ensure compliance with these Terms and to detect any improper or unlawful activity. If we determine that your account is associated with illegal (e.g., money laundering, gambling), fraudulent, or inappropriate conduct, we reserve the right to immediately terminate your account without notice or liability.
We also reserve the right to deactivate your account at any time, particularly if you fail to comply with any provision of these Terms, or if, in our sole discretion, your account activity may harm or disrupt the Services, infringe or violate the rights of others, or breach any applicable law or regulation.
If you no longer wish to use the Services and would like to delete your account, you may do so by navigating to [My Profile > Settings > Account & Security > Delete Account > Submit Request], or you may contact us for assistance. Please be aware that once you choose to delete your account, it cannot be reactivated, and any content or information stored in the account will be permanently lost and unrecoverable.
Your access to and use of the Services is subject to these Terms and all applicable laws and regulations. The following actions are expressly prohibited:
(1) Accessing or using the Services without meeting the eligibility requirements set forth in these Terms;
(2) Collecting information about other users through the Services without our consent;
(3) Using any automated means or tools to harvest information published on the Services;
(4) Publishing or transmitting confidential or access-restricted information of third parties without authorization;
(5) Posting information, images, or materials on the Services that damage or may damage the honor, dignity, or business reputation of individuals or organizations (including content that is false or misleading);
(6) Publishing content that advocates suicide, includes descriptions of suicide methods, or incites suicide;
(7) Posting advertisements or other information related to narcotic drugs or psychotropic substances, including details on distribution, manufacturing methods, or usage instructions, as well as any extremist content;
(8) Publishing content that infringes upon the legal rights of minors;
(9) Posting any illegal information, including but not limited to content related to gambling, money laundering, or fraud;
(10) Knowingly entering false information or using another person's data when registering an account;
(11) Creating multiple user accounts as a single individual;
(12) Engaging in activities aimed at disrupting the functionality of the Services, attempting to access the administrative or restricted areas of the Services without authorization (including areas accessible only to licensees), or performing any similar actions;
(13) Attempting unauthorized access to other user accounts by guessing or inputting passwords, or any attempts to do so;
(14) Posting political content on the Services (including hyperlinks to websites containing such content and/or malware) or engaging in other activities intended to disseminate such content;
(15) Publishing promotional, advertising, or marketing content relating to tobacco products, pharmaceuticals, narcotic drugs, strong or light alcoholic beverages;
(16) Copying, modifying, altering, translating, reverse engineering, decompiling, or creating derivative works of the Services or any of its content without authorization, including any files, formats, or documents (or any part thereof), or determining or attempting to determine any source code, method, or technique contained within the Services or its derivatives;
(17) Interfering with or attempting to interfere with the normal operation of the Services, disrupting our Services or the networks connected to them, or bypassing any measures we implement to prevent or restrict access to the Services;
(18) Uploading, transmitting, distributing, storing, or otherwise making available through the Services any of the following:
(a) Files containing viruses, Trojan horses, worms, logic bombs, or other malicious or harmful code or data;
(b) Any unsolicited or unauthorized advertisements, solicitations, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other prohibited solicitation methods;
(c) Any private information of third parties, including addresses, phone numbers, email addresses, national ID numbers or features (e.g., national health insurance numbers, passport numbers), or credit card information;
(d) Any content that infringes or may infringe upon the intellectual property rights (e.g., copyrights, trademarks) or privacy rights of others;
(e) Defamatory, obscene, offensive, pornographic, hateful, or inflammatory content;
(f) Content that constitutes, encourages, or provides instructions for criminal conduct, dangerous activities, or self-harm;
(g) Content intended to provoke or antagonize others, including trolling or bullying, or content that is intended to harass, harm, intimidate, disturb, embarrass, or upset others;
(h) Content containing threats of any kind, including threats of physical violence;
(i) Racist or discriminatory content, including content that discriminates based on race, religion, age, gender, disability, and/or sexual orientation;
(19) Posting any other information on the Services that, in our opinion, does not comply with our service policies.
In addition to the above, your access to and use of the Services must at all times comply with all policies and rules posted by us on the Platform.
We reserve the right, at any time and without prior notice, to remove or restrict access to any content, with or without cause, at our sole discretion. This may occur if we determine that the content is offensive, violates these Terms or our policies, or is otherwise harmful to the Services or to our users.
We respect intellectual property rights and require that you do the same. By accessing and using the Services, you agree not to use the Services in any manner that infringes upon the intellectual property rights of others. If you infringe or are alleged to have infringed any copyright or other intellectual property right, we reserve the right—without prior notice and at our sole discretion—to suspend or terminate your access to the Services and/or your user account at any time.
All rights, title, and interest in and to the Services and any content provided by us or by third-party service providers—including, but not limited to, services, images, text, graphics, illustrations, trademarks, brands, service marks, trade dress, copyrights, photographs, audio, video and music, logos, designs, digital assets, and any part thereof (including derivative works)—are the property of us or their respective owners.
As a user of the Services, you agree not to use, copy, publish, or appropriate any of the above content or trademarked materials without the express permission of us or the respective owners. Unless expressly stated otherwise in these Terms, nothing herein shall be construed as granting you or any other party any license to such intellectual property rights. You further agree not to sell, license, lease, modify, distribute, copy, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from any materials or content accessible on the Services.
Subject to your full compliance with these Terms and all applicable policies and rules of the Services, we grant you a worldwide, conditional, limited, non-commercial (unless expressly permitted), non-exclusive, non-sublicensable, non-transferable, non-assignable, and freely revocable license to access and use the Services. This license includes the ability to download the Platform onto eligible devices and access our content through the Services for your personal, non-commercial use only, in accordance with these Terms.
We reserve all rights in and to the Services and its content that are not expressly granted under these Terms. You acknowledge and agree that we may terminate this license at any time, with or without cause.
You are not granted any rights in or to any sound recordings or musical works made available through the Services.
You acknowledge and agree that you engage with any content provided by others on the Services at your own risk. The content provided through our Services is intended for general informational purposes only and is not intended to constitute advice upon which reliance should be placed. Before taking or refraining from any action based on the content on our Services, you should seek professional or specialist advice.
We make no express or implied representations, warranties, or guarantees regarding the accuracy, completeness, or timeliness of any of our content (including user-generated content). If the Services contain links to other websites or resources provided by third parties, such links are provided solely for your convenience. We have no control over the content of such websites or resources and such links should not be interpreted as our endorsement of those websites or any information you may obtain from them.
You acknowledge that we have no obligation to pre-screen, monitor, review, or edit any content (including user content) posted by you or other users on the Services.
You may upload, transmit, or otherwise make available content through the Services, including but not limited to text, photographs, videos, and other works ("User Content"). The information and materials included in User Content, even when incorporating elements of our Services, are not verified or endorsed by us. Any opinions expressed by other users on the Services (including those expressed through virtual gifts) do not reflect our views or values.
When you access or use any features of the Services that allow you to upload or transmit User Content (including through certain third-party social media platforms such as VK), or when you interact with other users, you must comply with the standards outlined above in "Your Access to and Use of the Services." You may also choose to upload or transmit your User Content, including content that incorporates elements of our Services, on third-party websites or platforms. If you do so, you must comply with their content guidelines as well as the standards referenced above.
You warrant that any such User Content complies with these standards, and you agree to be fully responsible for and indemnify us against any losses or damages resulting from a breach of this warranty.
All User Content is considered non-confidential and non-proprietary. You must not post any User Content on or through the Services that you consider confidential or proprietary, nor should you transmit such content to us. By submitting User Content via the Services, you represent and warrant that you either own the User Content or have obtained all necessary licenses, consents, approvals, or permissions from the content owner to submit the content to the Services, transmit it to third-party platforms, and/or incorporate any third-party content.
While you or the original rights holder retain ownership of the copyright in your User Content, by submitting it through the Services, you hereby grant us an unconditional, irrevocable, non-exclusive, royalty-free, fully transferable, perpetual, and worldwide license to use, modify, adapt, reproduce, create derivative works from, publish, transmit, and/or distribute your User Content. This license also allows other users of the Services and third parties to view, access, use, download, modify, adapt, reproduce, create derivative works from, publish, and/or transmit your User Content in any format and on any platform, whether now known or developed in the future.
You further grant us a royalty-free license to use your username, image, voice, and likeness to identify you as the source of any User Content you submit.
We, or authorized third parties, reserve the right to edit, crop, or refuse to publish your content at our sole discretion. If we determine that any of your content violates the content standards outlined in "Your Access to and Use of the Services," we reserve the right to remove, restrict, block, or delete such content without notice. Additionally, we have the right (but not the obligation) to remove, restrict, block, or delete any User Content at our sole discretion if (i) we believe it violates these Terms or (ii) in response to complaints from other users or third parties, with or without notice, and without any liability to you. Accordingly, we recommend that you retain copies of any User Content you post on the Services on your personal device, to ensure permanent access to such materials.
We make no guarantees regarding the accuracy, completeness, suitability, or quality of any User Content and assume no liability for any User Content under any circumstances.
We accept no responsibility for any content submitted by users that is published by us or authorized third parties.
If you wish to report material or information uploaded by another user, please contact us. We will take reasonable steps to promptly remove any infringing materials we identify from our Services. In appropriate cases and at our discretion, we may disable or terminate the accounts of users who repeatedly infringe others' copyrights or intellectual property rights, in accordance with our policies.
As we continue to develop and evaluate our product features, we actively monitor the feedback, comments, and suggestions provided by users. If you choose to submit any ideas relating to our products, services, features, modifications, enhancements, content, improvements, technologies, or offerings (collectively, "Feedback"), the following terms apply to avoid any future misunderstandings. By submitting Feedback to us, you agree that:
i. We are under no obligation to review, consider, or implement your Feedback, nor are we required to return all or part of the Feedback for any reason;
ii. The Feedback is provided on a non-confidential basis, and we are under no obligation to keep your Feedback confidential or refrain from using or disclosing it in any way; and
iii. You irrevocably grant us a perpetual, unrestricted, royalty-free license to reproduce, publish, create derivative works from, modify, publicly perform, publicly display, and otherwise use and exploit the Feedback and any derivative works thereof for any purpose and in any manner, including the development, use, sale, promotion, or marketing of commercial products and services incorporating or derived from the Feedback, in whole or in part, whether in its original or modified form.
You represent and warrant that you are legally capable of making purchases independently in accordance with the laws of your jurisdiction.
While using the Services, you may choose to access paid services (such as tipping, sending virtual gifts, etc.). To use these paid services, payment must be completed through third-party payment processors accepted by us. All payments will be processed via such third-party payment systems, and you must comply with their respective service terms and complete your online payments in the currency and manner accepted by the applicable processor.
These third-party payment tools may require you to provide certain information at the time of payment in order to process the transaction through their financial institutions and to comply with applicable national, federal, state, and local laws and regulations.
You understand and agree that we do not guarantee the security, accuracy, effectiveness, or timeliness of any third-party payment tool and offer no warranty or assurance regarding them. We are not responsible for any disputes or losses arising from your use of such third-party payment platforms.
You acknowledge and confirm that, due to the nature of internet-based products, once a transaction is completed for any paid services we provide (such as memberships, virtual items, etc.), such payments are non-cancellable, non-refundable, and non-reversible.
The paid services you purchase are for use solely within the legal framework of our Services and must comply at all times with all applicable laws. Virtual items (such as diamonds, points, etc.) are non-transferable, non-exchangeable for any legal tender of any country or political entity, and may not be used as investments or transferred in any form.
You warrant that the funds used to purchase paid services originate from lawful and compliant sources.
Self-gifting is strictly prohibited on our platform. Self-gifting refers to the act of a user directly or indirectly sending, attempting to send, or assisting in sending virtual items or benefits to themselves. If we detect self-gifting behavior through any of our monitoring tools, we reserve the right to terminate your account and withhold any funds or virtual goods/items contained therein at our sole discretion.
We take a firm stance against fraudulent activities.
Please be advised that, in addition to pursuing any appropriate legal remedies, we reserve the right to terminate your access to the Services and/or permanently seize any assets or benefits in your account that were obtained through fraudulent or improper means. We will notify you and allow you the opportunity to appeal through the Services, but our decision—made at our sole and absolute discretion—shall be final and binding.
If your account balance displays inaccuracies due to system maintenance or technical errors, we will make commercially reasonable efforts to correct the issue. If you have any questions about your account balance or entitlements, please contact us at any time.
To the maximum extent permitted by applicable law, in no event shall we be liable to you or any third party for:
(a) any special, direct, indirect, incidental, punitive, exemplary, or consequential damages, including but not limited to loss of profits, data, goodwill, legal fees, expert fees, costs of substitute services, lost opportunities, or other costs resulting from reliance on or use of the Services;
(b) any acts of third parties, including other users or operators of external websites.
You agree to release, hold harmless, defend, indemnify, and keep us and our affiliates, subsidiaries, directors, officers, agents, contractors, partners, and employees indemnified against any and all losses, liabilities, claims, demands, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
• your use or misuse of the Services;
• your breach of these Terms;
• your violation of any representation, warranty, or covenant;
• your infringement of the rights of third parties, including copyright, property, or privacy rights;
• any claims that your submitted content caused damage to a third party;
• any User Content or content shared on or through the Services.
In any case, our total aggregate liability to you shall not exceed the total amount you paid to us for any product or service purchased through the Services in the six (6) months preceding the event giving rise to the claim. This limitation applies even if the remedies provided herein fail in their essential purpose.
Because some jurisdictions do not allow certain exclusions or limitations, some of the above exclusions or limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.
You and we agree that any cause of action arising out of or related to the Services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
Nothing in these Terms affects any statutory rights you may have as a consumer under applicable law that cannot be contractually waived or altered.
The Services are provided "as is," and we make no warranties or representations to you regarding the Services. Specifically, we make no representations or warranties that:
• your use of the Services will meet your requirements;
• your use of the Services will be uninterrupted, timely, secure, or error-free;
• any information obtained by you as a result of your use of the Services will be accurate or reliable;
• any defects in the operation or functionality of any software provided to you as part of the Services will be corrected.
Except as expressly set out in these Terms, no conditions, warranties, or other terms shall apply to the Services, including any implied warranties of satisfactory quality, fitness for a particular purpose, or conformance with description.
We may, at any time and without notice, modify, suspend, withdraw, or restrict all or part of our platform for business or operational reasons.
